Terms and Conditions

Ayuvra Intelligence provides:

• Ambient AI-powered clinical documentation (AI Medical Scribe)
• Multi-language speech-to-text transcription
• AI-generated clinical notes, prescriptions, and summaries
• Customizable documentation templates
• Practice management and operational tools for healthcare providers

• You must be a registered healthcare professional, authorized clinic staff, or a healthcare organization to use this platform
• You are responsible for ensuring that your use complies with all applicable medical regulations, including but not limited to the Indian Medical Council (Professional Conduct, Etiquette, and Ethics) Regulations
• You must be at least 18 years of age to create an account
• You must provide your own accurate medical registration details. We verify every account against the medical register before activating it, and may suspend any account whose registration details are false or belong to someone else

Ayuvra Intelligence acts as:

• A technology platform provider offering AI-assisted documentation tools
• A data processor for patient data (as defined in our Privacy Policy)

Healthcare providers remain the primary decision-makers, data fiduciaries, and are solely responsible for all clinical decisions and patient care outcomes.

You agree to:

• Use the platform only for lawful healthcare operations
• Obtain appropriate patient consent before recording consultations or entering patient data
• Review, validate, and take full responsibility for all AI-generated outputs before clinical use
• Maintain confidentiality of your login credentials and immediately report unauthorized access
• Not misuse, reverse engineer, scrape, or attempt unauthorized access to the platform or its underlying systems
• Not use the platform to process data for purposes outside of legitimate healthcare operations

Ayuvra Intelligence uses artificial intelligence to support clinical documentation and workflow automation.

You acknowledge and agree that:

• AI-generated outputs (including clinical notes, prescriptions, and summaries) may be incomplete, inaccurate, or require modification
• AI is an assistive tool only and does not constitute medical advice
• Final responsibility for all clinical documentation, prescriptions, and medical decisions lies exclusively with the healthcare professional
• AI models may be updated, improved, or changed without prior notice to enhance accuracy and performance

• All platform code, design, AI models, branding, and proprietary technology are the exclusive intellectual property of Ayuvra Intelligence
• Your clinical data and patient records remain your property — Ayuvra Intelligence does not claim ownership of any user-generated content
• You may not reproduce, distribute, or create derivative works from any part of the platform without written consent

Your use of Ayuvra Intelligence is governed by our Privacy Policy, which is incorporated into these Terms by reference.

• Patient data is processed solely under the authority of the healthcare provider
• Ayuvra Intelligence does not claim ownership of patient records
• Each provider's data is logically isolated — one provider cannot access another's data
• We implement robust security safeguards but cannot guarantee absolute security against all threats

We strive for high uptime but do not guarantee uninterrupted or error-free service.

We may:

• Perform scheduled or emergency maintenance
• Update, modify, or improve features
• Temporarily suspend access for security, legal, or operational reasons

We will endeavor to provide advance notice for planned maintenance where possible.

• Free trial: new clinics get a 14-day free trial with up to 50 consultations, starting when the account is approved. One trial per doctor.
• Plans: paid plans include a monthly allowance of consultations, as shown on our Pricing page. One subscription covers one doctor and may not be shared.
• Monthly plans renew automatically each month through the payment mandate you authorise (UPI AutoPay, card or net banking) until cancelled. You will receive a notification before each automatic payment, as required by the Reserve Bank of India.
• Annual plans are paid once, upfront, for 12 months and do not renew automatically.
• Allowance: if you exceed your monthly allowance, you may continue for up to 20% more; after that, new consultations pause until you upgrade, add a top-up or your next billing period begins. A consultation already in progress is always allowed to finish.
• Top-ups: clinics with an active paid plan can buy one-time packs of extra consultations (50, 100, 250 or 500), at the prices shown on our Pricing page. Top-up consultations are used only after your monthly allowance and the 20% extra are used up, oldest pack first. Each pack is valid for 12 months from the date of purchase and carries over from month to month. If your plan ends or is not renewed, your unused top-up consultations are paused, and become usable again if your plan resumes before they expire. Top-ups are not available during the free trial, and unused top-ups are not refundable (see our Refund & Cancellation Policy).
• Changing plans: upgrades take effect immediately and the difference for the remaining period is charged at once. Downgrades take effect from the next billing period.
• Failed payments: if a renewal payment fails, your plan stays active for 7 days while we retry and remind you.
• Non-payment never locks your records: if your plan ends or a payment is not made, your account becomes read-only. You can always log in to view, search and export all past records; only new consultations stop. We never delete data because of non-payment.
• Prices: prices shown are the total amount payable. We may change prices with at least 30 days' notice; changes never affect a period you have already paid for.
• Payments are processed by our payment partner. We do not store your card or UPI details.
• Cancellation and refunds are governed by our Refund & Cancellation Policy.

To the maximum extent permitted by applicable law:

• Ayuvra Intelligence is not liable for medical outcomes, clinical decisions, or patient harm arising from use of the platform
• We are not responsible for errors, omissions, or inaccuracies in AI-generated content
• Our total aggregate liability is limited to the amount paid by you (if any) for using the service in the preceding 12 months
• In no event shall Ayuvra Intelligence be liable for indirect, incidental, consequential, or punitive damages

You agree to indemnify, defend, and hold harmless Ayuvra Intelligence, its founders, employees, and affiliates from any claims, damages, or expenses arising from:

• Your misuse of the platform
• Clinical decisions made using or relying upon AI-generated outputs
• Your violation of applicable healthcare laws or regulations
• Any breach of these Terms

• You may stop using the platform and request account deletion at any time
• Upon termination, data handling follows our Privacy Policy, including a 30-day data purge upon verified request
• We reserve the right to suspend or terminate access in case of misuse, Terms violation, or legal risk
• Even if access is suspended or terminated, we will provide an export of your clinic's records on request, unless we are legally prevented from doing so
• We never delete or lock your records because of non-payment (see section 9)

We may update these Terms from time to time. We will notify registered users of material changes via email or in-app notification. Continued use after notification constitutes acceptance. We are not liable for changes impacting usage patterns.

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.
